Depending on your location, some of these Jurisdiction-Specific Terms will apply to you. They form part of The ElectroNeek Terms and Conditions and are hereby incorporated therein.

1. CONTRACTING ENTITY; APPLICABLE LAW; NOTICE

1.1  Your physical address will determine (a) the ElectroNeek entity entering into this Agreement, (b) the address to which you should direct notices under this Agreement, (c) the law that will apply in any dispute or lawsuit arising out of or in connection with this Agreement, and (d) the courts that have jurisdiction over any such dispute or lawsuit, as set out in the table below. 

This Agreement is governed by the laws indicated in the below table. For any dispute arising out of or relating to this Agreement (if the Parties do not reach a settlement within 60 days), the Parties consent to personal jurisdiction in, and the exclusive venue of, the courts indicated in the below table. The terms of the United Nations Convention on Contracts for the Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) will not apply to this Agreement regardless of when or where adopted. To the fullest extent permitted by law, each of the Parties waives any right it may have to a jury trial in respect of litigation directly or indirectly arising out of, under or in connection with this Agreement. If a waiver of jury trial is deemed by any court of competent jurisdiction as not being enforceable for any reason, then to the fullest extent permitted by law, each of the Parties hereto agree to binding arbitration as determined in good faith by the Parties. 

For this agreement, “User Location” means your legal or billing address.

If you are located in a geographic region that does not fall into one of the designations described in the table above, then you are contracting with ElectroNeeks Robotics Inc, and so the State of Texas Law will apply. 

Please note that if there exists any Double Tax Treaty (“DTT”) to avoid double taxation in force between the ElectroNeek Contracting Entity and User Location, the DTT will automatically apply for tax purposes.
